　　買賣雙方簽訂本合同并同意按下列條款進行交易：(1)品名及規(guī)格(2)數(shù)量(3)單價(4)金額合計允許溢短裝＿＿%(5)包裝：(6)裝運口岸：(7)目的口岸：(8)裝船標記：(9)裝運期限：收到可以轉船及分批裝運之信用證＿＿天內(nèi)裝出。(10)付款條件：開給我方100%保兌的不可撤回即期付款之信用證，并須注明可在裝運日期后15天內(nèi)議付有效。(11)保險：按發(fā)票110%保全險及戰(zhàn)爭險。由客戶自理。(12)買方須于＿＿年＿＿月＿＿日前開出本批交易信用證，否則，售方有權：不經(jīng)通知取消本合同，或接受買方對本約未執(zhí)行的全部或一部，或對因此遭受的損失提出索賠。(13)單據(jù)：賣方應向議付銀行提供已裝船清潔提單、發(fā)票、中國商品檢驗局或工廠出具的品質證明、中國商品檢驗局出具的數(shù)量／重量簽定書；如果本合同按CIF條件，應再提供可轉讓的保險單或保險憑證。(14)凡以CIF條件成交的業(yè)務，保額為發(fā)票價值的110%，投保險別以本售貨合同中所開列的為限，買方如要求增加保額或保險范圍，應于裝船前經(jīng)售方同意，因此而增加的保險費由買方負責。(15)質量、數(shù)量索賠：如交貨質量不符，買方須于貨物到達目的港30日內(nèi)提出索賠；數(shù)量索賠須于貨物到達目的港15日內(nèi)提出。對由于保險公司、船公司和其它轉運單位或郵政部門造成的損失賣方不承擔責任。(16)本合同內(nèi)所述全部或部份商品，如因人力不可抗拒的原因，以致不能履約或延遲交貨，售方概不負責。(17)仲裁：凡因執(zhí)行本合同或與本合同有關事項所發(fā)生的一切爭執(zhí)，應由雙方通過友好方式協(xié)商解決。如果不能取得協(xié)議時，則在中國國際經(jīng)濟貿(mào)易仲裁委員會根據(jù)該仲裁機構的仲裁程序規(guī)則進行仲裁。仲裁決定是終局的，對雙方具有同等約束力。仲裁費用除非仲裁機構另有決定外，均由敗訴一方負擔。仲裁也可在雙方同意的第三國進行。(18)買方在開給售方的信用證上請?zhí)钭⒈敬_認書號碼。(19)其它條款：

All risks insured should be included within this contract. If the Buyer asks to increase the insurance premium or scope of risks, he should get the permission of the Seller before time of loading,and all the charges thus incurred should be borne by the Buyer.(15) Quality/Quantity Discrepancy; In case of quality discrepancy,claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organizations and/or Post Office are liable.(16) The Seller shall not be held liable for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents.(17) Arbitration:All disputes in connection with this contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to China International Economic And Trade Arbitration Commission in accordance with the provisional Rules of Procedures promulgated by the said Arbitration Commission. The arbitration shall take place in Beijing and the decision of the Arbitration Commission shall be final and binding upon both parties; neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party.
